These Terms & Conditions ("Terms") govern access to and use of bdangels.co (the "Website") and any paid membership purchased through it. By creating an account, submitting payment, or otherwise using the Website, you agree to be bound by these Terms. If you do not agree, do not use the Website.
2.1 Membership plans
BAN offers three paid annual membership tiers to individuals and institutions seeking access to BAN's deal flow and investor community:

Plan features, pricing, and inclusions may be updated by BAN from time to time; the version displayed on the Website at the time of purchase governs that transaction.
2.2 Eligibility and account registration
Membership is intended for individuals and institutions with a genuine interest in early-stage angel investing in Bangladesh.
You must provide accurate, current information when registering and keep your account credentials confidential.
BAN reserves the right to decline, suspend, or terminate any membership application or account at its discretion, including where information provided is false or incomplete.
2.3 Payments
Membership fees are payable in advance, in full, through the Website's payment gateway (aamarPay) using the payment methods it supports.
All fees are quoted in US Dollars unless stated otherwise. Where payment is processed in Bangladeshi Taka, the applicable exchange rate is set by the payment gateway or issuing bank at the time of transaction.
BAN does not store or have access to your full card or payment credentials. Payment data is collected and processed directly by aamarPay under its own security standards; see the Privacy Policy for details.
Membership access is granted upon confirmed, successful payment. See the Delivery Policy for timing.
2.4 Nature of BAN's role and no investment advice
BAN is a facilitator and intermediary. BAN is not a broker-dealer, fund manager, or licensed investment adviser in Bangladesh or any other jurisdiction, and membership does not create an advisory relationship. Nothing on the Website, in BAN communications, or in deal materials shared with members constitutes investment advice or a recommendation to invest. Startup investing is illiquid and high-risk, and capital invested may be lost in full. Members are solely responsible for their own investment decisions and should seek independent legal, tax, and financial advice before investing.
2.5 Intellectual property
All content on the Website, including text, graphics, logos, and the BAN and BWIN names and marks, is owned by or licensed to BAN and is protected by applicable intellectual property law. You may not reproduce, distribute, or create derivative works from Website content without BAN's prior written consent, other than for your own personal, non-commercial reference as a member.
2.6 Confidentiality
Deal materials, pitch decks, data room contents, and other non-public information shared with members through the Website are confidential and provided solely to support each member's own investment evaluation. Members must not redistribute such materials outside BAN's network without the relevant founder's consent.
2.7 Limitation of liability
To the fullest extent permitted by law, BAN, its directors, officers, and staff are not liable for any indirect, incidental, or consequential loss arising from use of the Website or from any investment decision made in connection with BAN's network, including loss of invested capital.
2.8 Governing law
These Terms are governed by the laws of the People's Republic of Bangladesh. Disputes are subject to the exclusive jurisdiction of the courts of Dhaka, Bangladesh.
2.9 Changes to these Terms
BAN may update these Terms from time to time. Material changes will be posted on this page with an updated effective date. Continued use of the Website after changes take effect constitutes acceptance.
